Policies & Procedures

 

Introduction

Utility Professionals is committed to conducting business responsibly, ethically, and in full compliance with the laws of Bangladesh, including but not limited to the Bangladesh Labour Act 2006 (as amended), the Anti-Corruption Commission Act 2004, the Money Laundering Prevention Act 2012, the Environment Conservation Act 1995, and other applicable rules and regulations. These policies apply to all employees, management, and third parties representing the company.

1. Ethical Business (Code of Conduct)

- We conduct business with integrity, honesty, and transparency.

- We strictly follow the Companies Act of Bangladesh and other applicable commercial laws.

- Employees must avoid conflicts of interest and always act in the best interest of the company and its clients.

2. Anti-Bribery & Corruption

- In compliance with the Anti-Corruption Commission Act 2004, Utility Professionals maintains zero tolerance for bribery and corruption.

- No employee, consultant, or agent may offer, accept, or solicit bribes, facilitation payments, or improper advantages.

- Any suspected violation will be investigated and reported to the relevant authority.

3. Gifts & Entertainment

- Gifts and hospitality may only be given or received if they are modest, lawful, and do not influence business decisions.

- Cash or cash-equivalent gifts are prohibited.

- Employees must disclose any gift or hospitality above a reasonable threshold to management.

4. Interaction with Government Officials/Employees

- All dealings with government bodies must comply with Bangladeshi laws, including the Public

  Procurement Act 2006 (where applicable).

- Improper payments, political donations, or benefits to public officials are strictly prohibited.

- Official communications must be documented and transparent.

5. Anti-Money Laundering (AML)

- In line with the Money Laundering Prevention Act 2012, we ensure all payments are made through legitimate, traceable channels.

- We do not accept funds from unknown or suspicious sources.

- Any suspicious financial activity must be reported to management, who may escalate it to the Bangladesh Financial Intelligence Unit (BFIU) if required.

6. Safety of Personnel at Physical Assets

- We comply with the Bangladesh Labour Act 2006 and Bangladesh National Building Code (BNBC) for workplace and site safety.

- Site staff must follow occupational safety rules, use PPE, and adhere to client and regulatory safety guidelines.

- Emergency procedures (fire, electrical, medical) are established and communicated to all staff.

7. Health, Safety & Environment (HSE)

- We are committed to compliance with the Environment Conservation Act 1995 and other environmental regulations of Bangladesh.

- Our designs integrate sustainable, safe, and eco-friendly engineering practices wherever feasible.

- Employees must maintain a safe, healthy, and hazard-free workplace.

8. Prevention of Child Labor

- In strict compliance with the Bangladesh Labour Act 2006, Utility Professionals prohibits the employment of persons below the legal minimum age.

- We ensure all contractors, vendors, and partners also comply with child labor laws.

- Violation of this policy will result in immediate termination of engagement.

Enforcement & Responsibility

- All employees, consultants, and contractors of Utility Professionals are required to follow these policies.

- Breaches may result in disciplinary action, termination of contract, and, where applicable, reporting to Bangladeshi authorities.

- The company will review and update these policies regularly in line with legal and regulatory changes.
